Milletlerarası mal satım sözleşmesine göre satıcının sözleşmeye aykırı davranması halinde alıcının başvurabileceği hukuki imkânlar

Abstract

Çalışmamızda alıcının Milletlerarası Mal Satımına İlişkin Sözleşmeler HakkındaBirleşmiş Milletler Antlaşması CISG (Contracts for the International Sale of Goods)kapsamındaki menkul mal satım sözleşmelerine ilişkin alıcının hakları konusuincelenmiştir.Birinci bölümde `Viyana Sözleşmesi'ne Genel Bir Bakış` başlığı altında Antlaşma'nınuygulama alanına ilişkin genel bilgiler verilmiş olup, satıcının yükümlülüklerine kısacayer verilmiştir. İlk bölümün sonunda sözleşmenin ihlali de dahil olmak üzere açıklamalaryapılmıştır.İkinci bölümde `Alıcının Hakları ve Yüklentileri` kapsamında sözleşmenin satıcıtarafından ihlali hallerinde alıcının sahip olduğu haklar ve bu haklardan yararlanması içingerçekleştirmesi gereken yüklentiler ile semenin tenzili ve tazminatın hesaplanmasınailişkin bilgiler verilmiştir.Son bölümde ise `Alıcının Sözleşmeden Dönme Hakkı ve Şartları` başlığı altındaincelenerek, satıcının sözleşmeyi ihlal etmesi halinde, alıcının sözleşmeden dönmesi vesözleşmeden dönme durumundaki hukuki sonuçlara yer verilmiştir.Viyana Sözleşmesi alıcının hakları bakımından; Antlaşma'nın farklı hukuk sistemlerininsentezi olması temelinde incelenerek, milli hukukumuz ve diğer hukuk sistemleribakımından yorumlanmış ve doktrindeki farklı görüşlerle birlikte açıklanmıştır.

In this research, the rights of the consignee regarding the contracts of the sale of goodsunder United Nations Treaty named Contracts For The International Sale Of Goods(CISG) is studied.In the first chapter, general information regarding the scope of CISG is given under theheading `Overview of the Vienna Convention` and the obligations of the seller arementioned briefly. At the and of the first chapter, explanations are made, including theviolation of the contract.In the second chapter, in the scope of `Rights and Obligationsof the Consingee`, aboutthe rights that the consignee has in case of breach of the contract by the seller and theobligations of consignee that shall be fulfilled in order to benefit from these rights andthe calculation of compensation and deduction of the price.In the last chapter, Under the heading of `Consignee's Terms and Conditions of ReturnFrom The Contract` the legal consequences of the consignee's return from the contractor consignee's breach of the contract are studied.In the scope of consignee's rights, the Vienna Convention is analyzed under the basis ofthe synthesis of comparative law, it is interpreted in the terms of national law and otherlegal systems and it is explained with the different approaches in doctrine.
