Abstract
Birleşme, kaynağını Türk Ticaret Kanunu'ndan alıyor olmasına ragmen, söz konusu mevzuatta birleşmenin net manasıyla tam bir tanımı olduğu söylenemez. Fakat Yeni Türk Ticaret Kanunu'nun 136'ncı maddesi, birleşme unsurlarını bir tanım ortaya çıkaracak biçimde ortaya koymaktadır.Yeni Türk Ticaret Kanunu'nda birleşme ile alakalı hükümler ve sonuçları göz önüne alınınca ortaya şu tanım çıkabilir: Birleşme; birleşme sözleşmesi çerçevesinde, bir yahut birden fazla şirketin mal varlıklarının bütününün külli halefiyet yöntemi ile devredilmesine sebep olan, devrolan şirketin mal varlığı karşılığında devralınan şirketin hisselerinin verildiği ve bununla birlikte devrolmuş olan şirketin tasfiyesiz biçimde sona ermesi sonucunu doğuran hukuki bir eylemdir.Birleşmenin doktrinde verilen tekdüze unsurları; külli halefiyet, sona erme, pay sahipliğinin devamı olarak karşımıza çıkar. Bahsedilen bu unsurlar ile birleşme, esas olarak şirketin bozulmamış ve şirketi oluşturan elemanların arasındaki işlevsel bağ kopmamış şekilde bir hissedardan diğer hissedara devrini içerir. Birleşme sonucu devrolmuş olan şirketin mal varlığının tümü devralan şirkete geçer. Bu bağlamda birleşme, şirketin bütünlük ve devamlılık sağlamasını korumak suretiyle devredilmesine dair bir yasal eylemdir.Birleşme ile devrolunmuş şirketin veya şirketlerin varlıklarının tümü küllü halefiyet ile devralan şirkete veya yeni kurulan şirkete geçer. Külli halefiyet, miras hukukunda yer alan intikali çağrıştırıyor olsa da, birleşme esnasında birleşmeye özgü bir intikal söz konusu olur. Bu bağlamda, birleşmeyle kişiye bağlı irtifak ve kişisel ilişkiler de içinde olmak üzere, devrolunan şirketin mal varlığının tamamı, eksilmeye uğramaksızın devralan veya yeni kurulan şirkete geçer. Külli halefiyet ile malvarlığının tamamını eksilmeden alan şirkete ileten şirketin varlık sebebi yok olmuş olur. Bu sebeple devir olmuş şirketin veya şirketlerin tasfiye edilmeden sona ermesi öngörülür.Birleşme, tasfiye ile uyuşmaz çünkü, devrolmuş şirketin tüm mal varlığı aktif ve pasifleri ile beraber devralan şirkete veya yeni kurulan şirkete geçer. Devralma şeklinde birleşme işlemi ile devralan şirketin ortaklar çevresini genişletir. Bunun sebebi birleşmenin gerçekleşmesiyle devrolunan şirketin hissedarlarının kanunen devralan şirketin hisselerini edinmesidir.Halka Açık Anonim Şirketler'in birleşme prosedürü özellik arz etmektedir. Halka Açık Anonim Şirketler'in birleşme işlemleri Sermaye Piyasası Kurulu tarafından Birleşme ve Bölünme Tebliği'nde yer alan hükümlerin yerine getirilmesine bağlı tutulmuştur. Bunlardan en önemlisi, yönetim organı kararının alınmasını takiben birleşme işlemine ilişkin duyuru metninin onaylanması için Tebliğ ekinde yer alan belgelerle birlikte Kurula başvurulmasının zorunlu kılınmasıdır. Kurula yapılacak başvuruda, varsa sermaye artırımı ile esas sözleşme madde tadiline ilişkin yönetim organı kararlarının da sunulması gerekir. YTTK, birleşme iptaline dair özel bir iptal davası öngörür. Söz konusu dava genel iptal davasına göre daha özel niteliktedir. Söz konusu dava birleşme hükümlerinin ihlal edilmesi durumunda açılır, kararın yasaya aykırı olmasına gerek bulunmaz. Fakat birleşmenin iptal edilmek suretiyle yok edilmesinin neredeyse olanaksız olması karşısında yasa koyucu yasaya aykırılık halini doğrudan iptale bağlamamıştır. Bu bağlamda yetkili hakim tespit ettiği aykırılığın giderilmesi için davalı şirkete zaman vererek aykırılığı ortadan kaldırmasını isteyecek, şayet aykırılık ortadan kaldırılmazsa iptal söz konusu olacaktır.Anahtar Kelimeler: Halka açık anonim şirketler, Birleşme, Türk Ticaret Kanunu, Sermaye Piyasası Kanunu. ABSTRACTIn addition to forming the basis of many regulations in the Turkish Commercial Code, the merger constitutes the source of the union in the technical context of the Turkish Commercial Code. This can not be said to be a precise definition of union in the legislation with a clear sense. However, the 136th article of the New Turkish Commercial Code sets out the elements of union in a way that reveals a definition.Considering the provisions and results related to the merger in the new Turkish Commercial Code, the following definition can be drawn: Is a legal action that results in the end of the sale of an affiliate whose shares of the affiliate acquired in exchange for the property of the devolved subsidiary have been transferred and which has been transferred together with it, which causes the transfer of the assets of one or more of the affiliates with the subjugal succession method.The monotonous elements given in the union's doctrine; Consecutive succession, ending, contradiction as the continuation of the shareholder. The merger with these mentioned elements involves the transfer of the other shareholding mainly from the shareholding of the company and the share of the functional link between the members of the company. After merger, all of the assets of the affiliated affiliate are transferred to the transferring partnership. In this context, merger is a legal action for transferring the company by maintaining its integrity and continuity.All of the assets of the merged subsidiary are transferred to the acquirer through the asymmetric succession. Although the connotation of subjugation evokes the transfer of inheritance law, a merger-specific transfer takes place during the merger. In this context, the entire property of the participating affiliate, including the easement and the personal relations of the associate with the associate, shall participate in the acquiring entity without undermining it. The entity that transmitted the entire property without loss of consummation to the participating entity through the consecutive subordination will be eliminated. For this reason, it is foreseen that the transferred subsidiary will be terminated without liquidation.The merger is incompatible with the liquidation because all assets of the transferred subsidiary are transferred to the acquiring entity together with the assets and liabilities. The merger process expands the partners' interests around the acquirer. This is because the shareholders of the transferred subsidiary acquire the shares of the subsidiary that is legally acquired by the union.YTTK provides a special cancellation order for merger cancellation. This case is more specific than the general cancellation case. In other words, the case is opened in case of violation of the provisions of the merger, the decision does not need to be against the law. But in the face of the fact that it is almost impossible for the union to be annihilated by annulment, the legislator has not directly linked to the cancellation of the law.
