İfaya eklenen ceza koşulu

Abstract

Ceza koşulu, Türk Borçlar Kanunu'nun 179-182. maddeleri arasında düzenlenmiştir. Türk Borçlar Kanunu'nun 182. maddesinin üçüncü fıkrasında düzenlenen aşırı ceza koşulunun indirilmesini düzenleyen hüküm haricinde bu hükümler emredici nitelikte değildir. Yani taraflarca bu hükümlerin aksine anlaşmalar yapılabilecektir. Bu tez çalışmasının ilk bölümünde ceza koşulu kurumu geniş bir şekilde açıklandıktan sonra ceza koşulunun türleri ve ceza koşulunun benzer kavramlar olan götürü tazminat, temerrüt faizi, cayma parası ve bağlanma parasından farkı irdelenecektir. İkinci bölümde ise; Türk Borçlar Kanunu'nun 179/II. fıkrasında `Ceza, borcun belirlenen zaman veya yerde ifa edilmemesi durumu için kararlaştırılmışsa alacaklı, hakkından açıkça feragat etmiş veya ifayı çekincesiz olarak kabul etmiş olmadıkça, asıl borçla birlikte cezanın ifasını da isteyebilir.` şeklinde tarif edilen ifaya eklenen ceza koşulu konusu ayrıntılı olarak Yargıtay uygulaması ile birlikte irdelenecek olup bu kapsamla sınırlı olmak üzere ifaya eklenen ceza koşulu ile zarar arasındaki ilişki, ifaya eklenen ceza koşulunu aşan zarar talebi ve borçlunun ifaya eklenen aşırı ceza koşulunun indirilmesini isteme hakkına değinilecektir.Anahtar Kelimeler: ifaya eklenen ceza koşulu, toplu veya ekli ceza, ifayla birlikte istenebilecek sözleşme cezası, ifaya ekli ceza.

Penalty Clause is regulated between articles 179-182 of Turkish Code of Obligations. These provisions are not mandatory, except the provision governing the reduction of the excessive penalty clause which is set forth in article 182/III of TCO. In other words, the parties will be able to make agreements contrary to these provisions. In the first part of this thesis, after explaining the penalty clause institution in broad terms, the difference between the types of the penalty clause and the similar concepts with penalty clause, such as lump sum indemnity, default interest, forfeit money, and earnest money will be explained. In the second part; penalty clause, which is defined in article 179/II of TCO as `If the penalty is determined for the situation in which the debt is not executed at the appointed time or place, the debtee may also ask for the execution of the penalty together with the actual debt, unless the debtee has explicitly waived of her/his right or has not accepted the performance without reservation`, will be discussed in detail with the implementation of the Supreme Court of Appeals, and as limited to this scope, the relation between the penalty clause and damage, additional indemnification demand, the right of the debtor to request the reduction of the excessive penalty clause that is added to the performance will be mentioned.
